What is a record gap?

The facts a counterparty will ask for that your documents never answer, and the cheapest way to find them before they do.

A record gap is a fact about a company that investors, counsel or a platform will ask for, and that nothing in the company’s own documents answers. It is not a weak document. It is a missing one: a question with no source to point to.

Every raise, listing or tokenization starts with the same questions. Who owns the company, what the asset is, what it is worth, what the contracts say, and under which rules it is offered. A company usually holds most of the answers somewhere. The record gaps are the ones it does not, and they surface inside billable time: offering documents drafted at a law firm run $50,000–$200,000+ and an independent appraisal $5,000–$50,000+ (third-party ranges researched July 2026 for the Stobox tokenization cost index), and every fact the firm has to chase is paid for at those rates. The questions are not going away either: the SEC’s staff statement of 28 January 2026 confirmed that a tokenized security is still a security, so the record a counterparty demands on-chain is the record securities law has always demanded.

Where record gaps come from

  • The fact was never written down. A decision taken on a call, an ownership change nobody filed, a valuation that exists only in a spreadsheet.
  • The document exists but is not in the room. It sits in an inbox or with a former adviser, so for the counterparty it does not exist.
  • Two documents disagree. Neither can be cited until someone says which one is current.
